Job Summary
We're looking for a Corporate Paralegal who wants to take ownership of critical legal work at a rapidly scaling company. You'll work closely with our Legal team and leaders across the business on corporate governance, financings and strategic transactions, Board matters, contracts, entity management, and other major company milestones.
This is a hands-on role with significant ownership. You'll manage important legal processes and records, coordinate complex workstreams, and build systems that help Legal and the broader company move quickly without sacrificing accuracy. Key Responsibilities
Own and maintain corporate records, minute books, resolutions, written consents, governance materials, and other key legal records.
Support Board and committee processes, including meeting materials, resolutions, minutes, approvals, signatures, and equity plan issuances.
Support financings, strategic transactions, and other major corporate matters by managing diligence requests, data rooms, transaction checklists, signatures, closing documents, and closing binders.
Partner with Legal, Finance, People, executives, outside counsel, and other teams to keep complex legal workstreams moving.
Maintain subsidiary and entity records and coordinate corporate filings, annual reports, foreign qualifications, registered agent matters, and related requirements.
Support securities and equity-related matters, including director and officer questionnaires, insider lists, stockholder actions, and other corporate compliance processes.
Help administer commercial agreements, including contract intake, approvals, execution, storage, renewals, and maintaining accurate contract records in Ironclad.
Coordinate signatures, notarizations, certifications, good-standing certificates, and other transaction and corporate requirements.
Maintain corporate, governance, transaction, and compliance calendars and ensure critical deadlines and deliverables don't slip.
Build practical templates, checklists, workflows, and systems that make recurring legal work faster and more reliable.
Take on new legal and corporate projects as Etched continues to scale.
You may be a good fit if you have (Must-have qualifications)
4+ years of experience as a corporate paralegal at a leading law firm, high-growth technology company, or similar environment.
Experience supporting venture financings, M&A, strategic transactions, tender offers, or other complex corporate matters.
Strong experience with corporate governance, Board processes, entity management, and maintaining corporate records.
Experience managing Carta, Ironclad, DocuSign, and virtual data rooms for a variety of diligence requests, transactions, and closing documents.
Exceptional attention to detail and a high bar for complete and accurate work.
Strong project management skills and the ability to manage multiple time-sensitive workstreams at once.
Sound judgment when handling confidential, privileged, and sensitive information.
Strong written and verbal communication skills.
The ability to work effectively with attorneys, executives, outside counsel, and teams across the company.
A track record of taking ownership, identifying what needs to happen next, and driving work through completion.
Comfort operating in a fast-moving environment where processes are still being built.
Strong candidates may also have experience with (Nice-to-have qualifications)
Supporting an IPO, public-company readiness, major financing, acquisition, tender offer, or other significant corporate transaction.
Working both at a leading corporate law firm and in-house at a high-growth company.
Securities compliance, SEC reporting, Section 16, or public-company governance.
Equity plans, stock administration, director and officer questionnaires, or stockholder matters.
Contract lifecycle management, Board management, entity management, or other legal technology.
Building or scaling legal processes at a rapidly growing company.
Supporting companies in semiconductors, AI infrastructure, advanced manufacturing, or other technically complex industries.
A paralegal certificate or equivalent corporate paralegal training.
